PROCEDURE

  1. Buyer and Seller sign the Sales and Purchase Agreement (SPA), where delivery protocol is delineated. Each page must be initialed.
  1. Buyer’s Bank issues a RWA via MT799/199 to issue the SBLC via SWIFT  MT760 to Seller Financial Bank. The SBLC will be for one year and one day.
  1. After receipt and authentication of the RWA, Seller Financial Bank confirms via MT199/799 readiness to receive the SBLC via SWIFT MT 760.
    1. Buyer Bank issue the SBLC via SWIFT MT 760 to the Seller Financial Bank. Seller issue Performance Bond (2% PB)
    1. Within 5 (Ten) banking Days, Seller notifies the Buyer of the first delivery with all export documents.
  1. Upon Buyer’s confirmation of readiness, Seller flies together with the Gold to Buyer’s choice of destination where Buyer shall wait for Seller at the Airport to clear and handle all import taxes as well as further fees related to Gold delivery to Buyer Refinery. All export costs of the Gold from Seller’s Country to Buyer’s designated Country Airport, shall be borne by the Seller; and all cost from Buyer’s designated Country Airport to Buyer Refinery shall be handled by the Buyer.
  1. Upon final assay at Buyer Refinery, in under 24 / 48 (twenty-four / forty-eight) banking hours, Buyer transfers payment to Seller’s bank account. All commissions are paid to intermediates’ bank account simultaneously.
  1. Upon confirmation of payments, Seller releases ownership to Buyer and the Refinery releases the Gold to Buyer.

PAYMENT:

PROCEDURE

Buyer and Seller signs this Full Cooperate Offer (FCO), where delivery protocol is delineated, which makes it a confirmed PO.

  1. Buyer will travel to Ghana for TTM with seller and to sign contract based on agreed discussion.
  2. Delivery terms for this Sales and Purchase agreement is FOB
  • Upon Buyer’s confirmation of readiness, Buyer and Seller sign contract and exchange hard

copies physically and then move to the refinery together.

  • Upon assay result at the PMCC refinery and after gold is sealed by the Customs Division ofthe Ghana Revenue Authority and the Government designated laboratory i.e. PMMC and accompanied with full export documentation Buyer pays Seller outside the refinery within24 banking hours and take possession of the good. All commissions are paid to intermediates bank account simultaneously if there be any intermediates.
  • Upon confirmation of payments, Seller releases ownership to Buyer and the Refinery releases the Gold to Buyer automatically.

All export charges, PMCC payments, in Ghana are at the Seller expenses.

  4. Manifest is accepted, transaction commences through Brinks.
  5. Buyer will receive monthly supply based on the terms of the contract

TERMS AND CONDITIONS

Commodity Form:  Gold Dore Bars    

Origin: Ghana, Guinea, Burkina Faso, Benin, and other agreed upon locations in Africa.

Delivery 1st Trial Tranche:  200 (TWO HUNDRED) kgs CIF AIR FREIGHT Cargo as mutually agreed 

Delivery Shipment CIF: 

1,000 (ONE THOUSAND) kgs per month, every month, for the 12 (TWELVE) month period.   Delivery of each shipment to the Buyer will not be later than the fifteenth day of each month.  The first delivery will be accomplished within the first 25 (TWENTY FIVE) days of XXXXX 2020, pending Seller approval of Buyer’s documents. 1,000 (ONE THOUSAND) kgs per month, every month, for the 12 (TWELVE) month period.   Delivery of each shipment to the Buyer will not be later than the fifteenth day of each month.  The first delivery will be accomplished within the first 25 (TWENTY FIVE) days of XXXXX 2020, pending Seller approval of Buyer’s documents. 

Total Quantity: 12 (TWELVE) Metric Tonnes (“MT”) 

Destination: Mutually Agreed Refineries inDUBAI (“Destination Refinery”).  Preference for Emirates GOLD DMCC, Dubai, U.A.E. 

Start Delivery: Within 3-7 (THREE to SEVEN) days after both Parties sign this Agreement and receipt by the Seller of one of the Financial Instruments, as mutually agreed by both Parties and as detailed under the section “PAYMENT” herein, issued by the Buyer’s Bank or Buyer’s Refinery in favor of the Seller. 

Price: A base price of 10% (TEN Percent) Gross Discount, and 7% (SEVEN Percent) Net Discount to the Seller, as calculated based on the London Bullion Market 
Association (“LBMA”) 2nd price fixing of Gold contained in each Gold Dore bar as measured/determined by Refinery Assay.  Such pricing allows for adjustments up or down based upon and in proportion to daily fluctuations in the LBMA spot-market per ounce/per kilo pricing of Gold and shall be in effect on the day each consigned shipment is received, assayed and reported by the Refinery. 

Commission:  The Total Commission of 3.0% (THREE Percent) is paid by Named Paymasters, who shall distribute the Total Commissions to all the Agents/ Intermediaries pursuant to the Irrevocable Master Fee Payment Agreement (“IMFPA”) as attached hereto as Exhibit C. 

Term of this SPA: Bank Comfort Letter (BCL), with Authority to Verify (ATV) and Tear Sheet, for the amount of 200 (TWO HUNDRED) kgs trial delivery.

PAYMENT GUARANTEE AND PROCESS

Buyer will issue a guarantee to Seller’s nominated account in the form of both:  

  1. BCL (Bank Comfort Letter) with Authority to Verify (ATV), plus tear sheet. [For the delivery of trial tranche of 200 (TWO HUNDRED) kgs only].   

2. The fully executed SPA will be lodged with all relevant Bank, Warehouse, or Refinery Officers.  Proof of Product 

3. (“POP”) and Proof of Funds (“POF”) will be exchanged Officer to Officer via MT600 and MT99 (respectively).  

4. Each tranche will then be paid via MT103, bank-to-bank transfer, 24 (TWENTY-FOUR) hours to max 48 (FORTY-EIGHT) hours after receiving final assay report.   

I. WARRANTIES:

  1. CURRENCY: Referenced Currency in this Agreement is to be in DOLLARS (Currency of the United States of America). 
  2. CLEAR TITLE: The Seller confirms and warrants that the Title of the Raw Gold to be sold herein will be free and clear of all liens and encumbrances including from the International Monetary Fund and World Bank Group. 
  • SELLERWARRANTY: The Seller warrants with full legal responsibility under penalty of perjury, that the Seller has full power, right, title authority and ability to enter into this SPA to sell and deliver the Raw Gold Commodity specified herein and that said Commodity has no criminal origin; being fully able to perform all Seller’s obligations under this SPA. 
  • BUYERWARRANTY: The Buyer warrants with full legal responsibility under penalty of perjury that Buyer is ready, willing and able to purchase the said Commodity, with funds, certified as good, clean, clear; with no proceeds from criminal origin; being fully able to perform all Buyer’s obligations under this SPA. 
  • PAYMENT TERMS:
    • PURCHASE PRICE:

The agreed Purchase Price in US dollars is based on the London Bullion Market Association (“LBMA”) 2nd price fixing taken as average of 2 (TWO) days prior to verification confirmation at Buyer’s Assay Refinery (“LBMA Market Price”), with a Gross Discount of 10% (TEN Percent) (“Gross Purchase Price”) and Net Discount of 7% (SEVEN Percent) (“Net Purchase Price”) to the Buyer. In the event that the LBMA is not operating on that scheduled day, the price calculation used shall be based on the second LBMA fixing of the NEXT MARKET OPENING DAY. 

  • PAYMENT:

At the Conclusion of the Procedure of Transaction for each Tranche, pursuant to Clause 5 – PROCEDURE OF 

TRANSACTION below, The Buyer shall remit the LBMA Market Price less the Net Discount of 7% (SEVEN Percent) as the Net Purchase Price to Seller’s nominated bank account, within a maximum of 48 (FORTYEIGHT) banking hours after conclusion of verification of the Raw Gold.  It is estimated that the first tranche delivery payment shall occur within 25 (Twenty-Five) days from the execution of this Agreement by both Parties.

 c) COMMISSIONS:

The total Commissions for all Agents/Intermediaries of 3.0% (THREE Percent) (“Commissions”) being the difference between the Gross Purchase Price and the Net Purchase Price, shall be included within that portion of the Net Purchase Price remitted to designated Paymasters, who shall further distribute fees to all Agents/ Intermediaries pursuant to the IMFPA, attached hereto as Exhibit C. 

  1. DELIVERY TERMS:

The delivery of the Raw Gold shall be done in 3-7 (THREE to SEVEN) business days and shipped to the Destination Refinery.  The cost of all exports taxes and relevant documentation shall be borne by the Seller.  

The cost of all import taxes shall be borne by the Buyer.

All invoices and relevant documents including export documents and Airway bill shall be emailed to the Buyer 2 (TWO) days in advance before shipment commences for Buyer’s preparation for clearing custom purposes at the destination Airport.  The Seller shall be responsible for the transfer of the Raw Gold to the Destination Airport, located within DUBAI as mutually agreed.  The Buyer shall be responsible for the transfer of the Raw Gold from the Destination Airport to the Buyer’s refinery location as mutually agreed.                                                             

  1. PROCEDURES:
    1. TERMS OF DELIVERY:

The Raw Gold shall be delivered at the Destination Refinery as mutually agreed. 

The Seller shall at its own expense arrange transportation and insurance of the Gold through the Airlines upon the receipt and VERIFICATION of the BCL from the Buyer.  

The Seller shall act only within the framework of laws and regulations of all local, state, federal, internal, government authorities and shall comply with all of the applicable United Nations and European Economic Community Conventions. 

The Seller undertakes the obligation to resolve all relevant duties, taxes and export licenses to be levied in the jurisdiction of Origin of the Raw Gold. 

Buyer undertakes to pay all costs regarding weighing, verification and sampling of the Raw Gold at the Destination Refinery.  

  • TRANSPORTATION AND ACCEPTANCE:

The Buyer shall take preliminary control of any shipment of the Raw Gold at the Destination Airport and Buyer’s 

Refinery, and conduct testing on the Quality and Quantity according to this Agreement by using its own equipment. 

The Raw Gold shall be delivered by the freight forwarding company or in any other way as agreed between the 

Parties.  

The Seller or Seller’s representative shall accompany the first two Raw Gold deliveries to the Destination Refinery and be present during custom clearance, weighing, verification and sampling until the entire first two Transactions have been executed. 

  • ACCEPTANCE,ANALYSIS, AND RESULTS:

The tolerance of discrepancies in the results of weighing, verification and sampling should not exceed 0.2 (ZERO POINT TWO) percent. 

If the results of the samples analysis are within the agreed tolerance, the Parties shall recognize the arithmetical average of the results of samples as a basis of mutual settlements on the pricing and subsequent payments to Seller to enable title and ownership to pass to the Buyer.  

If the results of analysis are beyond the limits of discrepancies, the Parties shall agree on a re-analysis of samples and a date of re-exchange of their results. During this sample re-analysis, the Seller has the right within a reasonable time but no longer than 10 (TEN) business days to bring sufficient additional Raw Gold to the Destination Refinery to ensure that the Buyer has sufficient gold to satisfy the Agreement quantities as agreed to for each shipment. This additional Raw Gold will be delivered pursuant to the same terms and conditions of this SPA.   

If the results of the re-analysis of samples are beyond the boundaries of agreed limits of discrepancies and in the event that the Parties are unable to find a compromise on the percentage of gold in the supplied Raw Gold consignment, then the application shall be made for analysis of samples by an independent arbitration laboratory (“Arbitration Analysis”) that is mutually agreed upon by the Parties to this SPA. 

If the result of the Arbitration Analysis of samples is between the results of analysis of both Parties or coincides with any of them, the arithmetic average of the Arbitration Analysis sample and the nearest sample shall be used for calculation of pricing and final payment to enable title and ownership to pass from the Seller to the Buyer. Both Parties will bear their own respective costs during this process until final settlement, subsequent to which any reimbursement of costs will fall under the terms and conditions of this SPA. 

Both Parties recognise that during the refinery process at the Buyer’s Refinery, there may be additional metals that could be extracted during this process and it is up to the Seller with the Buyers assistance in good faith to negotiate with the Buyer’s Refinery for payment on these additional metals to the Seller. 

 d) PACKAGING:

The Raw Gold packaging must be selected by the Seller in such way that the quality of the Raw Gold will not disperse during transportation and storage. 

The Parties independently of each other shall seal each piece of Gold. 

Packaging and sealing of the Raw Gold should ensure absence of any foreign or accidental access to the product and shall be under the control of an internationally recognised and secure transportation company. Otherwise, no special requirements for the type and size of packaging or sealing shall be imposed.                                                                   

 V. DOCUMENTS:         

The shipment and delivery shall be identified with all assigned Agreement reference codes and numbers including the name of the Recipient Company and the Officer of the Recipient Company. 

  • Delivery shall be accompanied by the following export documents that Seller must provide to the Buyer prior to arrival of the Raw Gold to the destined storage facility. 
  • Certificate of Origin, 1 (One) original and 3 (Three) copies 
  • Certificate of Purity 
  • Certificate of Ownership, 1 (One) original and 3 (Three) copies 
  • 4 (Four) Copies of Commercial Invoices in favour of Buyer, 2 (Two) originals and 2 (Two) original copies showing Agreement reference codes, description of goods, packing list, unit price, total amount, and gross/net weight of goods. 
  • Receipt of the paid customs duties and taxes. 
  • The Government issued Export Permits, 3 (Three) copies issued 
  • Copy of the Airway Bill marked with “Air Freight pre-paid”, 1 (One) original and 3 (Three) copies 
  • Customs and Excise tax-paid Receipts 
  • Declaration that the product is free, clear, of non-criminal origin, unencumbered and free of any liens, transferable and exportable (Movement Certificate) 
  • Certificate of Analysis report issued by a local gold assay laboratory recognised world wide 
  • AGREEMENT TERM:

This Agreement is valid starting for 12 (TWELVE) months duration (“Term”).

Either Party may terminate this agreement by giving the other Party 3 (THREE) months’ written notice with evidence and proof of unfulfilled Agreement obligation of the other Party. 

  • TITLE &OWNERSHIP:

The title and ownership of the Raw Gold, as well as all documents, shall be transferred from the Seller to the Buyer upon Buyer bank’s verified confirmation of cleared payment by Buyer into Seller’s account, evidenced by payment confirmation. 

  • BINDING AUTHORITY:

This Agreement is binding on the Parties hereto, their assigns and successors and is signed with full authority to execute the Transaction. 

  1. JURISDICTION AND CHOICE OF LAW:
    1. Any action or legal proceeding related to this Agreement shall be adjudicated under the laws of the United Kingdom (“UK”). 
    2. Any dispute arising out of or in context with this Agreement or related to any extended Agreement concluded as a result of this Agreement shall be settled by Arbitration. The seat of the Arbitration tribunal shall be under the laws of Arbitration as interpreted in UK and the English language shall be the language of this Agreement and any Arbitration Proceedings. 

2. NOTICES:

Any and all notices required to be given by one Party to the other, in regard to this Agreement, shall be in writing by Posting the same through registered post at the address or addresses as stated herein and copied by fax or Email, directly to the Parties concerned at the contact details contained in this Agreement. 

  • FACSIMILE COPIES:

This Agreement shall be accepted to be legal and binding, by both Parties, once executed by both Parties and sent by fax and/or E-mail directly to the Parties concerned at the numbers and/or E-mail addresses contained within this Agreement. 

  • FORCE MAJEURE:

The Parties hereto shall not be held liable for any failure to perform, if failure is caused by reasons stated under the “Force Majeure” clause as regulated by the International Chamber of Commerce (“ICC”), Paris, France, which clauses are deemed to be incorporated herein.  No Party shall be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, political unrest, labour dispute, strike, lockout or interruption or failure of electricity [or telephone service] in such circumstances. Any Party asserting Force Majeure as an excuse shall have the burden of proving that reasonable steps were taken (under the circumstances) to minimize delay or damages caused by foreseeable events, that all non-excused obligations were substantially fulfilled, and that the other Party was timely notified of the likelihood or actual occurrence which would justify such an assertion, so that other prudent precautions could be contemplated. 

  • NASSIGNMENT:

This Agreement shall be binding upon the Parties and their respective successors and assigns and shall inure to the benefit of the Parties and their respective successors and permitted assigns.  No Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party.  

  • WAIVER:

None of the terms or conditions of this Agreement may be waived except in writing by the Party which is entitled to the benefits thereof.  No failure or delay in exercisin any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power, or privilege hereunder.   

  • SEVERABILITY:

If any provision of this Agreement is found to be illegal or unenforceable, the other provisions shall remain effective and enforceable to the greatest extent permitted by law.  

  • INTELLECTUAL PROPERTY:

If any Both Parties own or possess adequate rights or licenses to use all Intellectual Property necessary to the conduct of their businesses as now conducted, and such Intellectual Property represents all material intellectual propert rights necessary to the conduct of their business as now conducted.  The Buyer agrees that it will not copy, transmit, distribute, sell, license, reverse engineer, modify, publish, or participate in the transfer or sale of or in any other way exploit any of the content, in whole or in part of the Seller.  All logos and publications related to both Parties are trademarks, and both Parties may not copy, imitate or use the content or marks without the Seller’s prior written consent.  There are no infringements or other violations of any Intellectual Property by any third party, except for such infringements and violations, which, individually or in the aggregate, would not reasonably be expected to have a Material Adverse Effect.     

  • INDEMNIFICATION:

Buyer agrees to fully defend, indemnify and hold harmless Seller and its affiliates (and each of their officers, directors, employees, agents and representatives) from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature, including reasonable legal and accounting fees, arising out of or in connection with: Buyer’s breach of its obligations, representations or warranties under this Agreement or any other instructional manuals, guidelines, or documentation made available by Seller to Buyer, or Buyer’s violation of any applicable law or the rights of a third party (including any laws related to financial crimes and intellectual property rights).   

  • TERMINATION:

This Agreement may be terminated, and the transactions contemplated by this Agreement abandoned at any time prior to the closing by agreement of either Party – should either Party have made misrepresentations resulting in the signing of this Agreement, should there be an irrevocable breakdown between both Parties, and should either Party be in material breach of clauses of this Agreement and, following discussion, those breaches and difference are not remediable or reconcilable.  

  • IPAYING VIA MT103/72 BANKTO-BANK PAYMENT:

The Buyer will execute MT103/72 payment to the Seller’s designated Beneficiary Banks 48 (Forty-Eight) hours BEFORE final Assay verification.  The Buyer agrees to remit funds to the designated Seller Beneficiaries coordinates.  Release of conditional hold with occur 24 (TWENTY-FOUR) to 48 (FORTY-EIGHT) hours 

AFTER final assay verification.   

XIX. CONFIDENTIALITY AND NON-CIRCUMVENTION:

The Parties will maintain complete confidentiality regarding all terms of the instant Agreement.  They will not disclose names, addresses, email addresses, telephone and tele-fax or telex numbers to any contacts by either party to any third party and they each recognize such contacts as the exclusive property of the respective parties and they will not enter into any direct negotiations or transactions with any contacts revealed by the other party. 

The Parties will not in any manner solicit, nor accept, any business in any manner from sources or their affiliates, which sources were made available through this Agreement, without the express permission of the party who made available the source.  They further undertake not to enter into business transactions with banks, investors, sources of funds or other bodies, unless written permission has been obtained from the other parties to do so.   

The Parties agree not to circumvent or attempt  to circumvent this agreement in an effort to gain consultant fees, commissions, remunerations or considerations to the benefit of the one or more of the Parties while excluding benefits to any other Party.  The circumvention shall be immediately subject to forfeiting of the commissions/consultant fees, or profits for that Party and/or being held liable for liquidated damages in the amount equal to the provable financial harm or loss suffered by the aggrieved Party.       

For the sake of this Agreement, it does not matter whether information is obtained from a natural or legal person.  The Parties also undertake not to make use of a third party to circumvent this clause.  This Agreement is valid for any and all transactions between the Parties herein.  The duration of this clause shall survive the cancellation or nullification of the instant Agreement, and will perpetuate for 5 (FIVE) years from the last date of signing.  

XX. OTHER CONDITIONS:

Buyer will Both parties agree to follow the instructions described in the procedures section of this SPA.  

By signing this Agreement, all signatories hereto acknowledge that they have read and each party fully understands the terms and conditions contained in this agreement and by their initials and signature hereby unconditionally agree to its terms as of the date noted herein.   

BOTSWANA DIAMOND TENDERS

The principal or signatory will have to travel to Botswana, with a gemologist (Gemologist must be there to inspect the lots 1 week before Tender’s date), quantities available to purchase are virtually unlimited.

Buyer should be there the first time, than can send his gemologist to inspect and do the bidding online from his office, without having to go to Botswana every time, which is very convenient.


Once the client bids and purchases the stones they want, they pay for the product after reception of an invoice, gets all paperwork and the stones are lodged at Malca or Brinks within the technology park and buyer ships them to preferred CIF destination, the stones never leave the building, this is the most modern and safest facility in the world to buy diamonds.


After clients successfully purchases at the Tenders a few times, we can facilitate the purchase of a sight holder’s license, which is extremely difficult to get, and will allow the Buyer to purchase any quantities at any time.


Here is how we get started:


1. Buyer issues LOI and CIS, we run compliance on buyer (48H to 72H), if everything is ok than

WE ARE ABLE TO SUPPLY COPPER CATHODE UNDER THESE TERMS:

WHEREAS THE SELLER and BUYER each with full corporate authority, certifies, represents and warrants that each can fulfil the requirements of this contract and respectively provide the products and the funds referred to herein, in time and under the terms agreed to hereinafter; and whereas the seller hereby agrees and makes an irrevocable firm contract to sell and whereas the buyer hereby agrees and makes an irrevocable firm contract to purchase and sellElectrolytic Copper Cathodes of which characteristics are indicated in the specification of this contract. Whereas the seller and buyer both agree to finalize this contract under the terms and conditions, it is therefore agreed as follows:

1. SCOPE OF THE CONTRACT

  1. The Seller, under full authority and responsibility, declares that he has the clear and qualified right to sell the Electrolytic Copper Cathodes 99.97% – 99.99% maximum and below 99.95% is rejection and that he guarantees that the Seller has the means to legally transport the copper agreed between him and the Buyer to the buyer’s destination. The Buyer’s, under full corporate authority and responsibility declares that he and his associates have the full capability to purchase the Electrolytic Copper Cathodes 99.97% – 99.99%.  
  2. The Seller shall be responsible for all shipment /Export Taxes, Duties, Freight, Security and full Insurance cover until delivery to Buyers International destination.
  3. The Buyer accepts all charges for security, customs clearance at arrival Port.

2.NET UNIT PRICE

  1. The buyer shall pay the seller in  USD ($)

3.DELIVERY TERMS & ACCEPTANCE OF GOODS

  1. Delivery and acceptance of the goods is executed in accordance with the terms and conditions till delivery to the buyer.
  2. Loading Port: Dar Es Salaam, Tanzania / Durban, South Africa
  3. Discharge Port: TO BE ADVISED     
  4. The buyer will sign and seal the contract with the seller and open non-transferable DLC must be activated to the seller’s designated bank account. 
  5. Seller provides 2% PB and POP to buyer’s bank
  6. Buyer shall come to view and inspect goods at load port before first shipment. 
  7. Seller now ship the goods as well packed and send the documents.
  8. The total sales value shall be made after goods arrival at the buyer’s port of destination after the Quality of the Goods delivered under the present contract is indicated in the Certificate of quality issued by the International independent laboratory SGS, ALEX STEWART, ALFRED KNIGHT at buyers option, the surveyors, at the port of discharge, and said surveyors will confirm the seals applied on the containers at the port of loading are intact and unbroken.
  9. Payment for goods inspection is done at the Seller’s expense at the port of loading and at the port of discharge by the buyer’s expense.
  10. Date of delivery of lots of goods is the date of arrival of the vessel at the port of discharge.
  11. The Quality and Quantity of the goods stated in the bill of lading and surveyors report at port of discharge and shall provide conclusive evidence of the quality and quantity of the goods delivered.
  12. No reach certificate will be provided
  13. The first shipment shall commence in 15 days due to preparations. Upon successful delivery and payment, the second shipment shall start and delivered in every 30 days once.

4.QUALITY OF GOODS:

  1. The Goods are copper cathodes (Electrolytic Copper Cathodes, Grade A) at a purity of 99.97%-99.99%, Non-LME registered.
  2.  Rejection below 99.95%.
  3. The Goods shall confirm to specification in the contract hereto.
  4. The Goods shall be CONGO/ZAMBIA Origin
  5. The quality of the Goods will be confirmed by a certificate issued by the independent International Survey company SGS, ALEX STEWART, ALFRED KNIGHT at the port of Loading, where the Survey company will supervise the loading of each container and seal it prior to loading on the ship, plus quality and quantity survey at port of discharge by SGS, ALEX STEWART, ALFRED KNIGHT at Buyers option, which shall be binding on both parties in all respects, including but not limited to the replacement of faulty goods paid for by the seller.
  6. If the degree of the purity of the Electric Copper Cathodes is less than 99.95%, the buyer has the right to make a rejection or the two parties agree to discount the unit price USD10-/MT for each 0.01% loss of the purity.

5.PAYMENT TERMS:

DLC,  Irrevocable  Non – Transferable 100% Payable at Port of Destination on arrival of material at discharge Port  or within 05 days.

6.PROCEDURE:

  1. Buyers will be required to sign the FCO as acceptance of the offer and send it back to the seller.
  2. The seller sends the SPA project.
  3. The buyer will review and sign the sale and purchase contract electronically.
  4. Buyer sends verbiage of DLC – MT 700 for Sellers approval along with signed SPA.
  5. Seller provides ProForma invoice for the monthly value.
  6. After approval, Buyer issues non operative DLC MT-700 to seller bank for verification in 04 days.
  7. Seller verifies and sends back with POP (Limited photos and video) to buyer bank in 05days. 
  8. Buyer bank now makes the DLC – MT 760 operative on 04 days.
  9. Seller confirms the DLC MT 760 and shall provide operative 2% PB to buyer bank in 07 days. 
  10. The Seller shall prepare the shipping and related documents
  11. The buyer shall visit load port to physically inspect stock and quality if necessary.
  12. The delivery of the goods will be done according to the agreement.
  13. Following documents to the buyer:
    1. Pro-forma Invoice stating price and quantity of goods to be delivered
    1. Export Permit certificate from the country of origin
    1. Assay certificate duly signed by certified office
    1. Certificate of origin issued by the government
  14. The seller will export the goods as per the terms and the condition of this contract
  15. The buyer shall pay the balance 10% payment once the material is reached at destination and quality is matched or within 05 days.

7.PACKING, MARKING, FORWARDING:

The goods shall be packed in bundles, palletized and banded by aluminium bands, Net Weight of each pallet: 2MT +/-1%, No. of sheets per bundle: 20 sheets, in a way that guarantees the safety of copper cathode during transportation; seller shall send the goods packed by the manufacturer according to manufacturer’s specifications on pallets.

Each package shall contain the following information:

  1. Contract number
  2. Consignee details
  3. Number of a bundle                                 
  4. Weight Gross                                                                               
  5. Weight Net

8.THE NAME AND SPECIFICATION OF GOODS:

The name of the goods under the present contract is Copper Cathode 99.97% – 99.99% minimum.  The chemical analysis will be detailed upon assay of each shipment, but will be within accepted industry parameters for the following elements, typical values of which are shown below:

10.NOTICES:

Any and all notices required to be given by one party to the other party to this Agreement shall be in writing and by posting the same by certified/recorded post at the address or addresses as stated herein and copied by facsimile or email, directly to the parties referenced herein.

11.DOCUMENTS

Each shipment and delivery shall be identified with all appropriate contract reference codes and numbers. Seller must provide the following documents to Buyer’s prior to arrival of goods or before delegate’s arrival at the port of destination: These documents will be provided 120 Hours before delivery of Electrolytic Copper Cathodes.

12.DOCUMENTS REQUIRED FOR PAYMENT:

  1. commercial invoice
  2. Certificate of Origin from the country of origin
  3. Certificate of Ownership
  4. Export Authorization
  5. Bill of Lading (B/L) consigned to order and blank endorsed, Notify the buyer 
  6. Analysis report from the country of origin 
  7. Packing List.
  8. Quality and weight inspection certificate at the port of discharge.
  9. Insurance cover @ 110%
  10.  All payment documents are all 3 originals.

13.APPLICABLE LAW AND JURISDICTION:

  1. Any legal action or procedure related to this Agreement will be adjudicated in accordance with the laws of Vietnam and the location of India/Africa/China and made in ENGLISH.
  2. Should either party not perform exactly within the terms and conditions of this Agreement, the other party will give notice regarding the non-performance, where upon the non-performing party must comply with their obligations within Seven (7) Working Days or this Agreement shall be cancelled without further notice.
  3. This Agreement shall be governed by the Commercial Code in accordance with the interpretation of Vietnamese arbitration law and respect for the INTERNATIONAL TRADE Law (ICC).
  4. Any dispute arising from or in the context of this Agreement or in connection with any agreement entered into by this Agreement shall be settled by Arbitration. The office of the arbitral tribunal will follow the rules of reconciliation and arbitration of the Vietnam Arbitral Tribunal, and the English language will be the language of the proceedings.

14.JOINT DECLARATION:

The SELLER and BUYER each declare unto one another that the Copper commodity offered herein for sale, and the origin of the funds used for purchasing the Cu commodity, do NOT contravene: The Drug Trafficking Offenses Act 1986, The Criminal Act 1988, The Prevention of Terrorism (Temporary Provisions) Act 1989, The Criminal Justice (International Co-operation) Act 1990, The Criminal Justice Act 1993, and the Money Laundering Regulations 1993, The Patriot Act, 2001, or any other illegal or criminal activity. And accordingly, each party to this agreement indemnifies each other against any such allegations, which, may or may not be made in the future.

15.ASSIGNMENT:

  1. Any of the sides is allowed to assign the contract in order to secure the performance of its obligations.
  2. Any assignee or legal successor to either party shall assume all obligations and benefits of the contract.

16.FACSIMILE COPIES:

This Agreement shall be accepted to be legal and binding by both parties if executed and sent by fax and/or email direct to the parties concerned at the numbers contained within this Agreement.

17.FORCE MAJEURE:

  1. The parties hereto shall not be held liable for any failure to perform under the “Force Majeure” clause as regulated by the International Chamber of Commerce, Paris – France which clauses are deemed to be incorporated herein.
  2. Both sides in this contract will be exonerated from their obligated in case of Force majeure event.
  3. Force majeure is understood as per provisions under ICC 500 and means any event such as fire, explosions, hurricanes, floods, earthquakes and similar natural calamities, wars, epidemics, military operations, terrorism, riots, revolts, strikes, industrial unrest, Government embargoes, or Other unforeseeable actions occurring after the conclusion of this contract and outside the sides reasonable control and which cannot be avoided by the reasonable diligence that could delay or prevent the performance of either sides obligations in this contract. Force Majeure claims must be verifiable via LLOYDS of London claims and acts of conveyance delay rules. 
  4. The party to this contract whose performance of this contract is prevented by a force majeure event must notify the other party within 7 (seven) days of the effective date of occurrence, which notice is to be confirmed by a Certificate issued by the Local Chamber of Commerce and Industry, including particulars of the event and expected duration. Failure to submit such a notification will prevent the party’s exoneration from contractual obligations under force majeure event makes such notice impossible.

18.ETHICS: (NON-CIRCUMVENTION and NON-DISCLOSURE)

Both Buyer and Seller acknowledge that the harm to the other party would be substantial and therefore the Seller and Buyer agree to abide by the Customary International rules of non-circumvention and non-disclosure as established by the International Chamber of Commerce in Paris, France for a period of five (5) years from the date hereof. Said Non-circumvention and non-disclosure shall include, but not be limited to communicating with each other’s banks, refiner, Representatives of Buyer’s dealing with Customs, brokers or Seller’s mandate.  The understanding and accord of this sub-paragraph will survive the termination of this Agreement.

19.BINDING AUTHORITY:

This Agreement is binding upon the parties hereto, their assigns and successors and is signed with full authority to act.

20.TOTAL AGREEMENT: 

This Agreement supersedes any and all prior agreements and represents the entire Agreement between the parties. No changes, alterations or substitutions shall be permitted unless the same shall be notified in writing and signed by both parties.

21.OBLIGATION & PANALITIES 

Within Five (05) banking days, the direct buyer provides Non-Transferable SBLC to the Seller’s bank/SWIFT. If the direct buyer does not succeed in issuing the Payment Instrument, the agreement becomes null and void. 

– The direct buyer shall pay to seller 2% of value of first shipment as the cost of Seller securing the goods for buyer if the failure of issuing payment is caused by direct buyer. 

– The seller shall pay to buyer 2% of value of first shipment as the cost for buyer if the failure of supplying goods  is caused by seller

22.EXECUTION OF THIS AGREEMENT: 

The terms of this Agreement shall be Confirmed and signed by the Buyer and the Seller via facsimile or Email. Said executed facsimile or email shall be binding and initiates and concludes the legal liabilities between Buyer and Seller of this Agreement. 

PLEASE NOTE THAT WE DO NOT CHANGE OUR PROCEDURES FOR ANY ONE, NO NEED TO ASK. ALSO, WE WILL NOT PROVIDE ANY PICTURES OR VIDEOS WITH THE BUYER’S NAME ON IT UNTIL THE LC IS OPENED.

With the current method of payment, the buyer is required to open an SBLC, the seller’s bank issues B/L and shipping documents to Buyer’s Bank, after all verification Buyer issues payment. (100% at Sight)

Here’s the New Procedure:

PAYMENT TERMS:


FULL CONTRACT VALUED SBLC (Standard Bank Letter of Credit), valid for 12 months shall be issued within FIVE calendar days after the Supply Contract is signed by the both parties and the procedure to send the swift correspondence shall start within 3 (three) days accordingly. 

SBLC (Standard Bank Letter of Credit),: IRREVOCABLE, TRANSFERABLE, DIVISIBLE, ASSIGNABLE WITH MINIMUM VALID TIME: 12 (TWELVE) MONTHS, CONFIRMED, BY SWIFT MT720 DIRECTLY TO OUR BANK.

INSPECTION:

By SGS or equivalent at loading port at the expense of the seller; all costs in the loading port are the Seller’s expense.

PROCEDURES:  

  1. Seller issues Full Corporate Offer (FCO). Buyer reviews, signs and seals FCO and sends it by email to the seller with Proof of Funds (POF RWA or BCL directly to the seller for the twelve-month contract value. Seller will verify POF.
  2. Seller issues Sales and Purchase Agreement (SPA) with producers SIF, buyer reviews, signs and seals SPA and sends by email. Seller registers SPA at sellers bank.
  3. The buyer sends a draft SBLC for agreed value via SWIFT to Seller bank. 
  4. Sellers bank confirms draft verbiage or requests any changes.
  5. Buyer issues SBLC via SWIFT within 48 hours,
  6. Seller confirms reception.
  7. Seller’s bank sends Performance Bonds (PB) for a value of two percent of the total contract value.
  8. Seller’s bank sends Proof of Product (POP) via Bank to Bank
  9. The seller starts shipping as per the contract.
  10. There is no trial shipment for less then 100 containers.

SHIPPING DOCUMENTS:

1. Commercial invoices, certifying that the quality, quantity and description of merchandise shipped, in 1 original and 3 copies.

2. Full set of (3/3) original clean shipped ‘on board’ ocean bill of lading marked ‘ freight collect’ and notify applicant.

3. Packing list issued by the beneficiary, that the goods were delivered, signed by beneficiary and applicant in one original and 2 copies.

4. Certificate of origin issued by chamber of commerce in brazil in 01 original and 02 copies.

5. Product shelf life: one year from date of packing. (date of packing and date of expiry).

6. Phythosanitary health certificate: good for human consumption.

  4. The Seller sends the Draft Contract, for signed by Seller and Buyer and sealed, within 72 hours, the copy will be deemed legal.
  5. The Buyer opens the DLC and Credit Facilities within 7 (seven) banking days, in the Seller’s account, as Proof of Funds.
  6. Buyer and Seller are in acceptance of all documents, Seller starts product for loading in Brazilian port.
  7. Seller in 30/40 +/- days Seller presents the shipping documents and (BL) to the Buyer, for payment of DLC by MT 103.
  8. After Seller presents shipping documents & BL, and confirmed payment in the Seller’s account, the transaction ends.

SHIPPING DOCUMENTS:

1. Commercial invoices, certifying that the quality, quantity and description of merchandise shipped, in 1 original and 3 copies.

PRICES TO BE QUOTED AFTER RECEPTION OF LOI

Following our new guidelines, we are pleased to offer our customers a new Safe Procedures and payment method for all poultry transactions.

This method makes it very easy for the customer, and at the same time we are required to perform in-depth and comprehensive checks to make sure that the buyer is the final buyer and that he has the financial capabilities to execute the transaction.

With the current method of payment, the buyer is required to open an SBLC, the seller’s bank issues B/L and shipping documents to Buyer’s Bank, after all verification Buyer issues payment. (100% at Sight)

Here’s the New Procedure:

PAYMENT TERMS:


FULL CONTRACT VALUED SBLC (Standard Bank Letter of Credit), valid for 12 months shall be issued within FIVE calendar days after the Supply Contract is signed by the both parties and the procedure to send the swift correspondence shall start within 3 (three) days accordingly. 

SBLC (Standard Bank Letter of Credit),: IRREVOCABLE, TRANSFERABLE, DIVISIBLE, ASSIGNABLE WITH MINIMUM VALID TIME: 12 (TWELVE) MONTHS, CONFIRMED, BY SWIFT MT720 DIRECTLY TO OUR BANK.

INSPECTION:

By SGS or equivalent at loading port at the expense of the seller; all costs in the loading port are the Seller’s expense.

PROCEDURES:  

  1. Seller issues Full Corporate Offer (FCO). Buyer reviews, signs and seals FCO and sends it by email to the seller with Proof of Funds (POF RWA or BCL directly to the seller for the twelve-month contract value. Seller will verify POF.
  2. Seller issues Sales and Purchase Agreement (SPA) with producers SIF, buyer reviews, signs and seals SPA and sends by email. Seller registers SPA at sellers bank.
  3. The buyer sends a draft SBLC for agreed value via SWIFT to Seller bank. 
  4. Sellers bank confirms draft verbiage or requests any changes.
  5. Buyer issues SBLC via SWIFT within 48 hours,
  6. Seller confirms reception.
  7. Seller’s bank sends Performance Bonds (PB) for a value of two percent of the total contract value.
  8. Seller’s bank sends Proof of Product (POP) via Bank to Bank
  9. The seller starts shipping as per the contract.
  10. There is no trial shipment for less then 100 containers.

SHIPPING DOCUMENTS:

1. Commercial invoices, certifying that the quality, quantity and description of merchandise shipped, in 1 original and 3 copies.

2. Full set of (3/3) original clean shipped ‘on board’ ocean bill of lading marked ‘ freight collect’ and notify applicant.

3. Packing list issued by the beneficiary, that the goods were delivered, signed by beneficiary and applicant in one original and 2 copies.

4. Certificate of origin issued by chamber of commerce in brazil in 01 original and 02 copies.

5. Product shelf life: one year from date of packing. (date of packing and date of expiry).

6. Phythosanitary health certificate: good for human consumption.

LOI MUST BE ON END BUYER’S LETTERHEAD ADDRESSED TO “MADNOX TRADE DESK”, WITH FULL CONTACT DETAILS, AND MUST INCLUDE THE ABOVE PROCEDURES. PLEASE NOTE, THAT AS OF TODAY, WE DO NOT DEVIATE FROM OUR PROCEDURES. OUR PROCEDURES ARE THE SAFEST ON THE MARKET, 100% AT SIGHT, UNTIL ALL SHIPPING DOCUMENTS ARE SENT BANK TO BANK, DOCUMENTS ARE VERIFIED AND PAYMENT IS MADE BY TT.


KPC Verification

Madnox handles all aspects of trading transactions from A to Z. We ensure that all the proper due-diligence is done correctly and in a timely manner in order to protect both buyers and suppliers. If a red flag is raised for any reason, the transaction will stall, threatening the capital and the commodities.

Homeland Security and other international agencies are rightfully very concerned with where the money and the stones for these large scale transactions come from, and Madnox, will only transact with suppliers of Rough Diamonds able to produce KPC’s and full legal documentation to show that their products are of non-criminal origins and non-terrorist origins. We check all KPC’s through the US Department of Homeland Security.
